Facebook to buy WhatsApp for USD 19 billion in deal shocker


The acquisition of the hot messaging service with more than 450 million users around the world stunned many Silicon Valley observersBut it underscores Facebook's determination to win the market for messaging, an indispensable utility in a mobile era.
Combining text messaging and social networking, messaging apps provide a quick way for smartphone users to trade everything from brief texts to flirtatious pictures to YouTube clips, bypassing the need to pay wireless carriers for messaging services.
And it helps Facebook tap teens who will eschew the mainstream social networks and prefer WhatsApp and rivals such as Line and WeChat, which have exploded in size as mobile messaging takes off.
"People are calling them 'Facebook Nevers,'" said Jeremy Liew, a partner at Lightspeed and an early investor in Snapchat.
WhatsApp is adding about a million users per day, Facebook co-founder and chief executive officer Mark Zuckerberg said on his page on Wednesday.
"WhatsApp will complement our existing chat and messaging services to provide new tools for our community," he wrote on his Facebook page. "Since WhatsApp and (Facebook) Messenger serve such different and important users, we will continue investing in both," he added.
Smartphone-based messaging apps are now sweeping across North America, Asia and Europe.
"Communication is the one thing that you have to use daily, and it has a strong network effect," said Jonathan Teo, an early investor in Snapchat, another red-hot messaging company that flirted year ago with a multibillion dollar acquisition offer from Facebook.
"Facebook is more about content and has not yet fully figured out communication," Teo added.
Even so, he balked at the price tag.

As part of the deal, WhatsApp co-founder and chief executive officer Jan Koum will join Facebook's board, and the social network will grant an additional USD 3 billion worth of restricted stock units to WhatsApp's founders, including Koum.
That is on top of the USD 16 billion in cash and stock that Facebook will pay.
"Goodness gracious, it's a good deal for WhatsApp," Teo said.
Terms
Shares in Facebook slid 5 percent to USD 64.70 after hours, from a close of USD 68.06 on the Nasdaq.
Facebook said on Wednesday it will pay USD 4 billion in cash and about USD 12 billion in stock in its single largest acquisition, dwarfing the $1 billion it paid for photo-sharing app Instagram.
The price paid for Instagram, which with just 30 million users was already considered overvalued by many observers at the time.
Facebook promised to keep the WhatsApp brand and service, and pledged a USD 1 billion cash break-up fee if the deal falls through.
Facebook was advised by Allen & Co, while WhatsApp has enlisted Morgan Stanley for the deal.

John Felix Anthony Cena (pronounced /ˈsiːnə/; born April 23, 1977) is an American professional wrestler, bodybuilder, rapper, and actor. He is currently signed to WWE.
Cena started his professional wrestling career in 1999 with Ultimate Pro Wrestling, where he held the UPW Heavyweight Championship. Cena signed a developmental contract with the World Wrestling Federation (WWF, later renamed to WWE) in 2001, debuting on the main roster in 2002. As of February 2014, Cena has had 21 championships reigns, including a record 11 reigns as WWE Championand three reigns as World Heavyweight Champion. He has the fourth-highest number of combined days as WWE Champion, behind Bob Backlund, Hulk Hogan and Bruno Sammartino.

John Cena has granted over 400 wishes for Arizona children with life-threatening illnesses through the Make-A-Wish Foundation, and is the biggest wish granter in Make-A-Wish history. In 2009, Cena received the Chris Greicius Celebrity Award.

Brock Edward Lesnar (/ˈlɛznər/; born July 12, 1977) is an American professional wrestler and actor, and former mixed martial artist, professional football player and amateur wrestler who is signed with WWE. He is also a former UFC Heavyweight Champion and an accomplished amateur wrestler, winning the 2000 NCAA Division I heavyweight wrestling championship and placing second in 1999 after losing to Stephen NealLesnar gained prominence in World Wrestling Entertainment (WWE) from March 2002 to March 2004, where he is a former three-time WWE Champion, becoming the youngest WWE Champion at the time with his first reign at age 25. Lesnar was the 2002 King of the Ring and the winner of the 2003 Royal Rumble Immediately following WrestleMania XX, Lesnar abruptly left WWE and retired from professional wrestling to pursue a career in the NFL. He played during the preseason for the Minnesota Vikings, but ended up being a late cut. He subsequently captured the UFC Heavyweight Championship from Randy Couture on November 15, 2008, then avenged his loss to Mir at UFC 100 to become the Undisputed Champion. After being sidelined from fighting in late 2009 due to diverticulitis, Lesnar returned to defeat the Interim UFC Heavyweight Champion Shane Carwin at UFC 116. Lesnar lost the Heavyweight belt against Cain Velasquez at UFC 121. He was once again stricken with a bout of diverticulitis in May 2011 and had surgery to try to cope with the ailment. Lesnar returned at UFC 141 in December 2011, where he lost to Alistair Overeem and promptly retired from the UFC.[ In April 2012, Lesnar returned to WWE. Lesnar is a four-time world champion in professional wrestling and is the only man so far to have been the WWE Champion (three times) and IWGP Heavyweight Champion (once), as well as the UFC Heavyweight Champion and NCAA Division 1 Champion.

Lesnar was on the cover of Flex Magazine in 2004, and was on the cover of Muscle & Fitness magazineand Minneapolis' City Pages in 2008. In 2003, WWE Home Video released a DVD entitled Brock Lesnar: Here Comes the Pain, covering Lesnar's career up to 2003 and featuring some of his biggest matches. Personal life
Lesnar grew up on a farm in South Dakota, and later joined the National Guard at 17. In January 2001, Lesnar was arrested for receiving large amounts of what was alleged to be steroids. The charges were later dropped when it was discovered the substances were in fact a legal growth hormone. His lawyer later described the growth hormone as a "vitamin type of thing".
He is known to be very protective of his private life and avoids discussing it in interviews: "It's very basic for me. When I go home, I don't buy into any of the bullshit. Like I said, it's pretty basic: train, sleep, family, fight. It's my life. I like it. I was a star at the University of Minnesota. I went on to WWE. Wannabe NFL player. And here I am, the UFC heavyweight champion. I just don't put myself out there to the fans and prostitute my private life to everybody. In today's day and age, with the Internet and cameras and cell phones, I just like being old school and living in the woods and living my life. I came from nothing, and at any moment, you can go back to having nothing".
On December 15, 2011, Lesnar was charged with hunting infractions of a trip to Alberta on November 19, 2010. Two charges were dropped during a court appearance in Medicine Hat on December 20, but Lesnar pleaded guilty to the charge of improper tagging of an animal. He was fined $1,725 and given a six-month hunting suspension.
He has one daughter, Mya Lynn (born April 10, 2002), with his ex-fiancée Nicole.[171] He left Nicole in 2003 for Rena "Sable" Mero, who had been recently divorced from Marc Mero. Lesnar and Mero were engaged in 2004, separated in 2005, then reconciled later that year; they were married on May 6, 2006. Lesnar has one stepchild with Mero: Mariah, a stepdaughter born to Mero and her late husband, Wayne Richardson. The couple had their first child together, a son named Turk in June 2009.The couple had their second, a son named Duke, in July 2010.
